3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your project requirements
• Respond promptly to requests for feedback, approvals, or information
• Make timely payments as agreed in the project contract
• Respect intellectual property rights and not use our services for illegal purposes
• Maintain confidentiality of any proprietary information shared during the project

4. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Payment schedules are agreed upon before project commencement
• Late payments may result in project delays or suspension
• All fees are non-refundable unless otherwise specified in writing
• Additional work beyond the original scope may incur additional charges

5. Intellectual Property

Upon full payment, ownership of custom-developed code and deliverables will transfer to the client as specified in the project agreement. However:

• CodeZiro retains the right to use general knowledge and expertise gained during projects
• Third-party libraries and frameworks remain subject to their respective licenses
• CodeZiro may showcase completed projects in portfolios with client permission
• Any pre-existing CodeZiro tools or frameworks remain our property

6. Project Scope and Changes

Project scope is defined in the project agreement. Changes to scope may:

• Require written approval from both parties
• Result in timeline adjustments
• Incur additional costs as agreed upon
• Be subject to feasibility assessment

7. Warranties and Disclaimers

We strive to deliver high-quality services, but:

• Services are provided "as is" without warranties of any kind
• We do not guarantee that services will be error-free or uninterrupted
• We are not liable for third-party services, APIs, or platforms
• Client is responsible for testing and quality assurance of deliverables

8. Limitation of Liability

To the maximum extent permitted by law:

• CodeZiro's total liability shall not exceed the total fees paid for the specific project
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for data loss, business interruption, or lost profits
• Clients are responsible for backing up their data and systems

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the project. This includes:

• Business strategies and plans
• Technical specifications and architecture
• Source code and proprietary algorithms
• Client data and user information

10. Termination

Either party may terminate a project agreement:

• With written notice as specified in the project agreement
• Immediately in case of material breach
• Upon completion of all deliverables and payment

Upon termination, client is responsible for payment of all work completed up to the termination date.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
